7.1. The commission payable by the Merchant to NGAGE 360 in respect of each Qualifying Redemption shall be as set out in the Commission Configuration Agreement, issued in the format of Annex A hereto. Commission accrues only on Qualifying Redemptions and only for so long as this Agreement remains in force.
7.2. No commission shall be charged, and no settlement obligation under this Agreement shall arise, until the Merchant has formally accepted the applicable Commission Configuration Agreement through the Merchant Admin Panel. Where the Merchant sends a Commission Configuration Agreement back for review, NGAGE 360 Admin may edit the applicable terms and reissue a revised version for the Merchant’s further consideration.
7.3. NGAGE 360 shall maintain a complete history of all versions of each Commission Configuration Agreement issued to the Merchant, together with the associated review status and email correspondence, for record and audit purposes, accessible to NGAGE 360 through the NGAGE 360 Admin Panel.
7.4. NGAGE 360 shall settle net amounts due to the Merchant on the settlement cycle stated in the Commission Configuration Agreement, to the Settlement Details confirmed by the Merchant. The Merchant is solely responsible for the accuracy of such Settlement Details, and NGAGE 360 shall bear no liability for any payment made to an account so confirmed.
7.5. Statement of account. Settlement statements shall be made available on the Merchant Admin Panel. The Merchant shall review each statement and notify NGAGE 360 in writing of any dispute within fifteen (15) days of the statement being made available, failing which the statement shall be deemed final, accepted and conclusive.
7.6. Taxes. All commission figures are inclusive of VAT and all other applicable taxes, duties, levies and charges unless otherwise stated in the Commission Configuration Agreement. NGAGE 360 shall deduct VAT, VDS, income tax at source and any other statutory deduction at the prevailing rates and issue the applicable certificate/challan.
7.7. Revision. NGAGE 360 may propose a revised Commission Configuration Agreement at any time by issuing an updated version through the Merchant Admin Panel, which shall take effect only upon the Merchant’s acceptance in accordance with Clause 7.2.
